Durch das am 1. Mai 1998 in Kraft getretene KonTraG wurde der Rückerwerb eigener Aktien durch eine AG erleichtert. Der Rückkauf von eigenen Anteilen kann verschiedene Intentionen haben. Hier kann zum einen der Rückkauf eigener Anteile als Ausschüttungsinstrument genannt werden. Er kann jedoch auch Kapitalherabsetzungen oder späteren Neuemissionen bei verbesserten Kapitalmarktbedingungen dienen. Eine weitere und verbreitete Möglichkeit ist die Ausgabe von Mitarbeiteraktien bzw. Aktienoptionsprogrammen. In dieser Arbeit werden zunächst rechtliche Grundlagen des Erwerbs eigener Anteile aufgezeigt. Weiterhin wird hier die Bilanzierung eigener Anteile nach HGB und nach IFRS verdeutlicht. Abschließend wird die praktische Umsetzung beispielhaft an Hand der K+S AG sowie der VW AG gezeigt. Auf Grund der Komplexität des Themas wird in dieser Arbeit nur auf eigene Aktien eingegangen. Zu eigenen Anteilen gehören weiterhin Anteile an einer GmbH oder KGaA.
